| Bank directors are frequently
required to adopt bank policies regarding compliance issues, approve management actions in
lending and operations, as well as assume a multitude of legal responsibilities as
directors without the benefit of training in these areas. At each board meeting, directors
are faced with a stack of detailed reports intended to inform them of the bank's position
